You agree not to:

5. Booking Appointments / Calls

Our website may allow you to request a call or appointment (“Book Now”, “Book a Call”, “Contact Us”). Submitting a request does not guarantee service engagement.

We may contact you using the details you provide (email/phone/WhatsApp) for consultation, onboarding, or support.


6. Service Engagement & Client Agreements

Any services provided by NP MedAssist are subject to a separate written agreement or contract (“Service Agreement”) that may include:

  • Scope of services
  • Pricing and payment terms
  • Service timelines
  • Responsibilities of both parties
  • Confidentiality and compliance obligations

If there is a conflict between these Terms and a signed Service Agreement, the Service Agreement will take priority.


7. Payments & Fees

Unless otherwise stated in a written agreement:

  • Fees must be paid as per the invoice terms
  • Late payments may result in paused services
  • All fees are non-refundable unless agreed in writing

Any taxes (if applicable) are the responsibility of the client.


8. Client Responsibilities

To deliver services effectively, clients agree to:

  • Provide accurate information and documentation
  • Provide necessary access to billing/EMR systems (as applicable)
  • Respond to requests in a reasonable timeframe
  • Ensure authorization to share patient data with NP Med Assist

Delays caused by missing information or access may impact timelines and deliverables.


9. Confidentiality

We take confidentiality seriously. Both parties must protect confidential business, financial, technical, and operational information shared during the relationship.

Additional confidentiality terms may apply under a signed Service Agreement.


10. HIPAA & Healthcare Data (If Applicable)

If our services involve access to Protected Health Information (PHI), the parties may sign a Business Associate Agreement (BAA) as required by HIPAA or other laws.

Clients are responsible for ensuring they are authorized to share any patient data.


11. Data Accuracy Disclaimer

While we aim to provide accurate and reliable billing, coding, documentation, and operational support, outcomes may vary due to:

  • Payer policy changes
  • Provider documentation quality
  • Claim rejection/denial reasons outside our control
  • Client system limitations

We do not guarantee specific reimbursement amounts, denial rates, or revenue increases unless explicitly agreed in writing.


12. Intellectual Property

All content on this website (including text, branding, graphics, logos, design, and layout) belongs to NP Med Assist unless stated otherwise.

You may not copy, reproduce, or distribute our website content without written permission.


13. Third-Party Tools & Links

Our website or services may reference third-party tools (EMR/EHR platforms, insurers, payment tools, communication platforms).

We are not responsible for third-party services, outages, policies, or data handling performed by third parties.


14. Limitation of Liability

To the maximum extent permitted by law, NP Med Assist will not be liable for:

  • Indirect or incidental damages
  • Loss of revenue or profits
  • Business interruption
  • Data loss caused by third-party tools, cyber incidents, or client systems

Our total liability will not exceed the amount paid by the client for the specific service in the last [30/60/90] days, unless stated otherwise in a Service Agreement.


15. Indemnification

You agree to indemnify and hold NP MedAssist harmless from claims, losses, damages, or legal costs arising from:

  • Misuse of services
  • Unauthorized data sharing
  • Breach of laws or regulations by the client
  • Incorrect or incomplete information provided by the client

16. Termination

We may suspend or terminate access/services if:

  • Terms are violated
  • Payments are overdue
  • Fraudulent or harmful activity is suspected

Either party may terminate services as per the Service Agreement (if signed).


17. Changes to these Terms

We may update these Terms at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of our website means you accept the updated Terms.


18. Governing Law

These Terms are governed by the laws of:
